Abstract

The purpose of this study was to determine and analyze the legal force of the standard contract for venture capital companies in including capital for business partner companies. Legal research methods through normative legal research, with statutory and conceptual approaches. The results of the study show that the legal force of the standard contract for a venture capital company in including capital for a business partner company is a business partner company in the form of a Limited Liability Company, the standard contract for a venture capital company is legally made (article 1320 of the Civil Code), according to the provisions of Limited Liability Companies and financing institutions while in the agreement equity participation, agreements between founders/shareholders, agreements for issuing and taking convertible bonds contain provisions regarding prerequisite agreements (conditions), technical assistance, marketing and management, termination of subsequent agreements on limited participation agreements with profit sharing patterns including provisions regarding how the distribution of the amount of assistance funds and cancellation of the agreement.
