Abstract

The aim of this research is to determine and analyze the liability of a limited liability company if the ultra vires doctrine occurs in relation to the actions of the limited liability company's organs outside the provisions of the articles of association. Business entities consist of legal entities and non-legal entities. A limited liability company is a legal entity, it must have aims and objectives as well as business activities in the company's articles of association which are contained in the deed of establishment. Limited liability company organs have the authority and responsibility for the interests of the company, however, limited liability company organs often carry out the company's business activities outside the provisions of the company's articles of association or act beyond their authority, which is called the ultra vires doctrine. Legal research methods through normative legal research with statutory and conceptual approaches. The results of the research show that a limited liability company is a legal entity company in accordance with the aims and objectives in the articles of association, so that if the ultra vires doctrine occurs, actions outside the provisions of the articles of association that cause losses, the party from the limited liability company organ that commits ultra vires can be held responsible.
